Techies Group Pty Ltd – Terms and Conditions

1. Agreement Overview
These Terms and Conditions (“Agreement”) govern the purchase and use of IT products and services - including but not limited to software licensing, managed services, cloud solutions, cybersecurity, hardware, hosting, and telecommunications - provided by Techies Group Pty Ltd (“Provider”, “we”, “us”, “Techies”) to the customer (“Client”, “you”). By purchasing a subscription, engaging our services, or paying an invoice, you agree to these terms.
Document Hierarchy
If there is any inconsistency between these Terms and Conditions, an accepted quotation, or any Service Summary or Service Schedule issued by Techies Group Pty Ltd, the accepted quotation or relevant Service Summary or Service Schedule will prevail to the extent of the inconsistency for the applicable service.
2. Software Licensing & Cloud Services
2.1 General Software & Cloud Licensing
Techies Group Pty Ltd acts as an authorised reseller or partner for a variety of software and cloud service vendors. All licences and subscriptions are subject to the applicable vendor’s End User Licence Agreement (EULA), Acceptable Use Policy, and/or Service Terms, which may be updated from time to time. You agree to comply with all vendor terms and conditions. Misuse, unauthorised resale, or sharing of licences is strictly prohibited. Techies Group Pty Ltd is not liable for outages, failures, or damages arising from third-party software or cloud services.
2.2 Microsoft Licensing (if applicable)
Microsoft licences are provided on a subscription basis and are subject to the Microsoft Customer Agreement and Product Terms. Acceptance of the Microsoft Customer Agreement is required for provisioning any Microsoft licence or trial. Techies Group Pty Ltd may request written confirmation of your acceptance for compliance records.
2.3 Microsoft 365 Licensing Terms
2.3.1 Licence Subscription & Ownership
The Microsoft 365 licence is provided on a monthly subscription basis through Techies, an authorised reseller. The licence remains the property of Microsoft and is subject to their Microsoft Service Agreement.
2.3.2 Subscription Fees & Payment
The subscription is billed monthly in advance. Payments are due within 7 days of the invoice date. Prices are subject to change based on Microsoft’s pricing policies.
2.3.3 Cancellations & Refunds
You may cancel your subscription with 30 days' notice before the next billing cycle. No refunds are issued for unused portions of a billing cycle. Failure to pay may result in service suspension or termination.
2.3.4 Licence Usage & Compliance
You agree to use the Microsoft 365 licence in compliance with Microsoft’s terms. Misuse, unauthorised resale, or sharing of the licence is strictly prohibited.
2.4 Additional Microsoft Licensing Terms (Added 07/05/2025)
2.4.1 Other Microsoft Licensing
Techies may provide access to other Microsoft cloud-based products and services including but not limited to: Exchange Online plans, Microsoft Defender for Business, Microsoft Intune and Endpoint Manager, Microsoft Azure subscriptions, Microsoft Teams Phone and Voice licensing, Windows 365, and any other Microsoft cloud licensing available under the Cloud Solution Provider (CSP) program. All such licences are subject to Microsoft’s Product Terms and Acceptable Use Policies.
2.4.2 Microsoft Customer Agreement (MCA)
By purchasing or trialling any Microsoft product or service through Techies under the Microsoft CSP program, you acknowledge and agree to be bound by the Microsoft Customer Agreement, which governs your rights to use Microsoft cloud services.

Acceptance of the MCA is a mandatory requirement for provisioning any Microsoft licence or trial under the CSP model. Techies may request written confirmation of your acceptance (e.g., via email) and will retain this as part of compliance records.
2.4.3 Appointment of Techies as CSP Partner
You authorise Techies Group Pty Ltd to act as your official Microsoft Cloud Solution Provider (indirect reseller) for licensing, billing, and support.
2.5 Third-Party Software & Cybersecurity Services
Where you purchase third-party software, cybersecurity, or related services through Techies Group Pty Ltd, you agree to be bound by the applicable vendor’s End User Licence Agreement (EULA), Acceptable Use Policy, and/or Service Terms as provided at the time of engagement.
Techies Group Pty Ltd acts as an authorised reseller or partner for these products and services. All such licences and services are subject to the vendor’s terms, which may be updated from time to time.
You acknowledge that:
- The vendor’s terms govern your rights to use the software or service.
- Misuse, unauthorised resale, or sharing of licences is strictly prohibited.
- Techies Group Pty Ltd is not liable for outages, failures, or damages arising from the vendor’s software or services.
- You are responsible for reviewing and accepting the vendor’s terms before use.
3. IT Services (Setup, Configuration & Troubleshooting)
3.1 Scope of Services
Techies Group Pty Ltd provides a range of IT services, including but not limited to: setup, configuration, troubleshooting, consulting, project management, and ongoing support.
The specific scope of services will be outlined in your service agreement, proposal, or statement of work.
3.2 Exclusions
Unless specifically agreed upon, the following are not included: hardware repairs or replacements, unsupported third-party integrations, onsite support, or services outside the agreed scope.
3.3 Service Fees & Billing
Fees for IT services are billed separately from licensing or product fees. Additional work outside the agreed scope is subject to hourly rates or a separate quote. All invoices must be paid within 7 days unless stated otherwise.
3A. Managed Services Engagements
If you engage Techies Group Pty Ltd for Managed Services or enter into an MSP or IT Managed Services contract, you agree to be bound by the terms of the Master Services Agreement (MSA) as agreed between both parties. The MSA will govern the scope, service levels, responsibilities, and other specific terms related to managed IT services. In the event of any conflict between these Terms and Conditions and the MSA, the MSA will prevail for the managed services provided.
3A.1 Remote Monitoring & Management (RMM)
Where RMM services are provided, you authorize Techies Group Pty Ltd to remotely monitor, manage, and support your IT environment as outlined in your service agreement or MSA.
You agree to provide necessary access and information for effective monitoring and support.
Techies Group Pty Ltd will use industry-standard security practices to protect your data and systems.
3B. Voice and Internet Services
Where you purchase voice or internet services from Techies Group Pty Ltd, you agree to the applicable Service Schedule or Plan Terms provided at the time of engagement. These terms will outline service inclusions, usage limits, support, and other relevant details specific to your chosen plan.
3C. Website and Domain Hosting
If you engage Techies Group Pty Ltd for website or domain hosting, registration, or related services, you agree to the Hosting Terms and Conditions or Product-Specific Agreement provided at the time-of-service commencement. These terms will govern your use of hosting services, domain renewals, and any applicable acceptable use policies.
3D. Hardware Procurement & Installation
Where you purchase hardware or engage Techies Group Pty Ltd for installation services, you agree to the applicable product warranty, installation terms, and any manufacturer’s conditions.
Techies Group Pty Ltd is not responsible for manufacturer defects or warranty claims beyond statutory obligations.
4. Payment Terms & Late Fees
Payments can be made via bank transfer, Stripe, or otherwise. Recurring subscription payments will be auto-deducted where applicable. Late payments beyond 14 days may incur a late fee of up to 5% per month. If a payment remains overdue for 30 days, services may be suspended until payment is received. Late fees and suspension actions may be waived, delayed, or adjusted where billing delays have occurred or where the Client is experiencing financial hardship, consistent with good industry practice.
5. Confidentiality & Data Protection
5.1 Storage of Credentials
Techies Group Pty Ltd may store customer credentials or sensitive information as part of IT administration and support services. All credentials are securely stored using encrypted password management solutions and are only accessible to authorized personnel.
5.2 Use of Credentials
Stored credentials will only be used for authorized administrative tasks, such as user management, troubleshooting, and security configuration.
5.3 Customer Responsibilities & Security Risks
Customers must notify Techies Group Pty Ltd if they change passwords or suspect unauthorized access. Techies is not responsible for security breaches due to customer-side vulnerabilities or failure to notify Techies.
5.4 Data Security Compliance
Techies follows industry-standard security practices and complies with relevant data protection laws, including but not limited to: Australian Privacy Act and GDPR (where applicable).
6. Liability & Service Limitations
Techies Group Pty Ltd provides products and services on an “as-is” and best-effort basis and is not responsible for service outages or technical failures beyond our control. Any service levels, response targets, or restoration targets are indicative only and subject to upstream provider performance, as outlined in the applicable Service Summary or Service Schedule.
We are not liable for data loss, security breaches, or disruptions caused by third-party vendors, customer mismanagement, or external actions.
Our maximum liability for any service failure shall be limited to the fees paid for the affected service in the last 3 months.
7. Customer Responsibilities
You agree to provide accurate business and billing details, grant necessary access for setup or troubleshooting, and ensure your employees follow best practices for security and compliance.
If you are an Engaging Party (e.g., MSP or reseller), you must ensure the end customer provides safe access and accurate information about concealed services before installation.
8. Termination of Services
Either party may terminate this agreement with 30 days' written notice. We may terminate services immediately if you fail to pay for more than 30 days, misuse or resell licenses without authorization, or engage in fraudulent or illegal activities.
9. Governing Law
This Agreement is governed by the laws of Australia. Any disputes shall be resolved in the courts of NSW.
10. Amendments & Updates
We reserve the right to update these terms at any time. You will be notified at least 30 days in advance of any material changes.
11. Installation Services & Risk Acknowledgement
Installation services may include drilling, cutting, or altering walls, ceilings, floors, or other building structures to run cables, mount equipment, or install wall plates. By engaging Techies for installation services, you acknowledge and accept that:
- Drilling or cutting may expose hidden services (e.g., electrical wiring, plumbing, data cabling) that are not visible or disclosed.
- Minor cosmetic damage (e.g., paint chipping, plaster cracking) may occur during installation.
- Techies Group Pty Ltd does not provide insurance for property damage. You are responsible for maintaining appropriate insurance coverage.
11.1 Subcontracting & Third-Party Engagement
Where Techies Group Pty Ltd provides services as a subcontractor through a reseller, MSP, or other third party (“Engaging Party”), these Terms apply to the Engaging Party regardless of the end customer location. Techies is not responsible for any contractual obligations between the Engaging Party and the end customer.
12. Limitation of Liability for Installation Works
To the maximum extent permitted by law, Techies Group Pty Ltd will not be liable for:
- Damage to concealed services unless caused by gross negligence.
- Consequential or indirect losses, including business interruption, loss of profit, or reputational damage.
- Cosmetic damage to walls, paint, or finishes resulting from standard installation practices.
Where services are provided under subcontracting arrangements, the Engaging Party indemnifies Techies against any claims, costs, or damages made by the end customer arising from the services, except where caused by Techies’ gross negligence.
Our total liability for any claim arising from installation works is limited to the lesser of:
- The amount paid for the installation service; or
- AUD $500.
You agree to indemnify Techies Group Pty Ltd against any claims, costs, or damages arising from inaccurate information provided about the property or concealed services.
13. No Insurance Coverage
Techies Group Pty Ltd does not provide insurance coverage for property damage or loss. Customers are responsible for maintaining their own building and contents insurance.
Acceptance of Terms
By engaging Techies Group Pty Ltd for any service, including Microsoft licensing, IT services, or installation services, or by paying an invoice, you acknowledge that you have read, understood, and agree to:
- Be bound by these Terms and Conditions.
If you purchase Microsoft products or services through Techies Group Pty Ltd:
- You also agree to the Microsoft Customer Agreement.
- ·You appoint Techies Group Pty Ltd as your official Microsoft Cloud Solution Provider (indirect reseller) for licensing, billing, and support.
